What Does The Law Firm Do?
David L Haselkorn, PC is a law firm that advises entrepreneurs, startups, emerging companies and seasoned operating companies, working with clients located throughout the U.S. and internationally. The firm also represents investors in angel-round and growth-capital investments in early-stage and other privately-held companies.
The law firm understands the goals and needs of early-stage businesses and their management teams, and works closely and collaboratively with clients to achieve the highest quality results efficiently and cost-effectively. The firm delivers “Big-Law” expertise and know-how with exceptional responsiveness and personal accountability, at a cost that is substantially lower and more predictable than Big-Law fees.
What Is A Typical Client Engagement?
The law firm’s clients span numerous industries. Current and past clients include companies in AI and machine learning; fintech, healthtech, biotech and edtech; broker-dealers; regulated ATS's; mobile consumer apps; B2B and SaaS software; space-based earth data; consumer financial services; asset management and investment funds; real estate management; executive coaching, PR and other professional services; consumer branded goods; distilled spirits manufacturing; and building-products distribution. The firm also represents financiers such as angel investors, venture capital providers and other sources of capital. Some of the firm’s clients are small — individuals or “two guys in a garage” — and others are substantial operating companies with many employees across multiple locations.
The firm’s work is focused on corporate finance, securities, angel and venture financings, mergers and acquisitions, general corporate law, governance, and business counseling. The firm serves as legal counsel to a portfolio of early-stage and venture-backed businesses, providing general counsel services, business-planning and capital-raising advice, securities law compliance, filing and managing trademark registration applications, and advising on employee matters. The firm has relationships with larger, full-service law firms that are introduced and retained (by the client) to co-counsel on transactions and matters requiring greater resources. The firm oversees that relationship and uses its experience to ensure these additional fees will be reasonable. The firm also represents a wide range of early-stage investors, including individuals and groups of angels. The firm also frequently assists with investor presentations, and branding and marketing brain-storming.
How Does The Firm Charge For Services?
Fees for legal and advisory services are tailored to each situation, with an emphasis on fixed fees, project-based fees, and value-based arrangements, rather than hourly billing. In appropriate cases, fees may consist of a combination of cash and equity, or equity-only compensation.

DAVID L HASELKORN
Experience
David has owned and operated his own law practice since 1995, focusing on corporate finance, securities and corporate law. He serves as counsel to early-stage, venture-capital backed and other privately held businesses; represents investors in private equity and other growth-oriented investments; and has served as an adjunct member of various client management teams. Prior to forming his own firm, David was a corporate and securities attorney in private practice with a national law firm; an in-house lawyer for a GE Capital subsidiary; a corporate, securities and finance lawyer with a leading Wall Street law firm; and founder/owner of a professional staffing and placement business. In addition to his law practice, David serves as President of a closely-held real estate company based in New York City. He is an entrepreneur and business owner, serving the legal needs of entrepreneurs and business owners.
David has represented very large multi-national corporations, startups, and just about every size company; financial institutions, including venture capital funds, private equity sources, and securities underwriters and placement agents; and individuals. He is experienced in a wide variety of transactions, including public and private equity and debt financings (domestic and international), mergers and acquisitions, strategic alliances, joint ventures, technology licensing, asset securitizations, and real estate-related asset acquisitions and servicing arrangements. David’s current practice is focused primarily on the needs of startups and early-stage businesses and their founders and management, including general corporate counseling, management and governance issues, raising capital, securities law compliance, and the representation of investor groups.
